Problem connecting to PC when USB settings are Memory Card

Hi All,
I have Motorola Razr V3i phone and I am unable to connect my phone to PC. I have tried hard all options that I could search on web but couldn't succeed. Can anyone help???
Problem Description
I've Windows SP2 and when I connect my phone to USB port via cable, my PC recognizes a new hardware but fail to install. When I go to Device Managers ->USB Controllers, I can see Motorola Phone (V3i iTunes) but it shows yellow color error icon. When I right click go to Properties, Device status is Drivers are not installed and when I try to reinstall Driver and select the location of drivers manually (I downloaded many drivers from web), I get an error message "There was a problem installing this hardware, An error occurred during the installation of this device, Access is denied".
I believe for Windows SP2, we don't need to install driver separately but still if I try, I get this error.
The USB setting on my phone is set to Memory Card.
If I change the USB setting to Data/FAX connection and try accessing P2K tools, I CAN access without any issues. So, the problem occurs when the USB settings are set to Memory card.
I've been stuggling to get this work since a month now but hard luck
Can someone please help?
