I can't seem to play wav files on my S65...it should be able to play wav files, and the phone comes with wav files as ringtones...but i cant seem to play the ones that i d/l..any ideas?

What type of wav files are you using?
Try IMA ADPCM wav
8,000 kHz; 4 Bit; Mono .... or
16,000 kHz; 4 Bit; Mono

Do you know of any software that can convert MP3 or WAV files to this format?

CX65 WAV convertor - SOX gui : http://www.siemensfreaks.com/en/index.php

Or use the disk writer output plug-in in Winamp.
