Yeah my Dad's iPhone got really hot, turns out it had on of the bad batteries. He got a refund for the phone.. and a letter from Apple telling me how I am an important customer and all this crap... was bizarre.
This problem is inherent in the design of the polymer Li-ion hybrid batteries Apple pioneered and many Android handsets are now also using, RAZRs, and the 'One' series in particular.
Take that overheating seriously. In the most extreme cases there is the potential that the battery could actually explode.

What would happen if the battery exploded? Would it just push the backing or the screen out?
From what I've seen it just swells up apple will replace the phone even put of warranty if that happens. Also make sure not to use your phone in direct sunlight close all background apps when not in use etc.

I don't know that it's ever happened in a cellular handset, but that particular polymer hybrid Li-ion battery design has a plastic bag for a case. It's been known -- only in extreme cases, as I said -- to gas up internally so as to expand rapidly and powerfully enough to burst explosively like a balloon filled with very hot jelly.

So, I just call, tell them my phone (iPwn 3GS 16Gb, almost 3 years old) is overheating, the phone turns itself off now at about 45%, and it falls to that level faster and aster every day??
Should I call AT&T, or should I bypass them and go straight to Apple? And will they be able to copy all my stuff over from the old phone to the new one?

You need to contact Apple. Nobody else is authorized to service Apple products. An At&t store can only exchange defective merchandise in the first 30 days after purchase.

Now answer the other question, please: what are the chances I'll get a replacement phone that doesn't cost an arm and a leg? If they tell me I have to pay $150 for a replacement 3GS, then there's no question in my mind: I get a GalaxySIII for $199 (or less, depending on how hard I can twist AT&T's arm).
